ProCap Insights — Supplemental Terms of Service

1. Introduction and Acceptance

These Supplemental Terms of Service (“Supplemental Terms”) govern your subscription to and use of ProCap Insights, a subscription content service available through www.procapinsights.com (“ProCap Insights” or the “Insights Service”). ProCap Insights is a product of ProCap Financial, Inc. (“ProCap,” “we,” “us,” or “our”).

These Supplemental Terms are in addition to, and incorporated into, the ProCap Financial, Inc. Terms and Conditions of Use (the “General Terms”) available at www.procapfinancial.com/terms. Capitalized terms not defined here have the meanings given in the General Terms. In the event of a conflict, these Supplemental Terms govern with respect to ProCap Insights.

By clicking “I Accept,” “Subscribe,” or a similar mechanism at the time of subscription, you agree to be bound by these Supplemental Terms. If you do not agree, do not subscribe to or use ProCap Insights.

2. Description of the Insights Service

2.1 Nature of the Service

ProCap Insights is a subscription-only content service that provides financial news, analysis, commentary, research reports, market data, educational content, newsletters, podcasts, video content, and other media related to investing, digital assets, financial markets, artificial intelligence, and related topics.

2.2 AI-Generated Content

You acknowledge and agree that all or substantially all of the content published through ProCap Insights is generated using artificial intelligence and machine learning technologies.

This means that articles, analyses, summaries, commentary, projections, and other materials you receive are produced by AI systems, which may or may not be reviewed, edited, or curated by human editors before publication. You acknowledge that:

• AI-generated content may not always be accurate, complete, or current, and may contain errors, omissions, or hallucinated information.
• AI-generated content may not reflect the most recent market conditions, regulatory changes, tax law developments, or other factors.
• AI-generated content may cite, reference, or summarize sources that do not exist or that do not say what the content claims. You should independently verify all cited sources.
• AI-generated content may be similar or identical to content provided to other subscribers.

3. Not Financial or Professional Advice

ProCap Insights is not a bank, broker-dealer, investment adviser, financial planner, tax preparer, tax advisor, certified public accountant, or attorney.

The Insights Service is an informational and educational tool. Nothing provided through ProCap Insights constitutes individualized financial, investment, tax, or legal advice. You should not rely solely on Insights content when making financial decisions. You should consult with qualified professionals for advice tailored to your circumstances. ProCap expressly disclaims any responsibility for decisions you make based on Insights content.

4. Subscription and Payment

4.1 Subscription Required

Access to ProCap Insights requires a paid subscription. Features, content tiers, and pricing are described on the ProCap Insights section of our website at the time of subscription.

4.2 Billing and Payment

By subscribing, you agree to pay all applicable fees using the payment method you provide. All fees are in U.S. dollars unless otherwise specified. Payment processing is handled by our third-party payment processor (currently Stripe).

4.3 Auto-Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You authorize us to charge the renewal fee to your payment method on each renewal date. Cancel at least 24 hours before the renewal date to avoid being charged.

4.4 Cancellation

You may cancel at any time through your account settings or by contacting support@procapfinancial.com. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by applicable law.

4.5 Fee Changes

We may change fees from time to time. Changes will not apply during your current billing period. We will provide at least thirty (30) days' advance notice. If you do not agree, cancel before the new fees take effect.

4.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your subscription, excluding taxes based on ProCap's net income.

5. Content Ownership and Restrictions

5.1 Ownership

All content published through ProCap Insights, including articles, analyses, reports, commentary, data, graphics, audio, video, and other materials (“Insights Content”), is owned by ProCap or its licensors and is protected by intellectual property laws.

5.2 Limited License

Subject to your compliance with these Supplemental Terms and the General Terms, and for the duration of your active subscription, ProCap grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Insights Content for your personal, non-commercial use only.

5.3 Restrictions

You may not:

• Copy, reproduce, distribute, republish, download, store, or transmit Insights Content except as incidental to normal use (such as browser caching).
• Share, forward, or redistribute Insights Content to non-subscribers, whether in whole or in part, by any means.
• Use Insights Content to develop, train, fine-tune, or improve any AI model, machine learning system, or competing product.
• Scrape, harvest, crawl, or use automated means to access or extract Insights Content.
• Create derivative works based on Insights Content.
• Use Insights Content for any commercial purpose without ProCap's prior written consent.
• Remove, alter, or obscure any copyright or proprietary notices from Insights Content.

6. Disclaimers Specific to ProCap Insights

IN ADDITION TO THE DISCLAIMERS IN THE GENERAL TERMS: THE INSIGHTS SERVICE AND ALL INSIGHTS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PROCAP MAKES NO WARRANTY THAT ANY INSIGHTS CONTENT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, OR ERROR-FREE. AI-GENERATED CONTENT IS PRODUCED BY AUTOMATED SYSTEMS AND MAY CONTAIN FACTUAL ERRORS, FABRICATED CITATIONS, OUTDATED INFORMATION, OR MISLEADING ANALYSIS. PROCAP DOES NOT GUARANTEE THAT AI-GENERATED CONTENT HAS BEEN REVIEWED BY HUMAN EDITORS BEFORE PUBLICATION. YOU EXPRESSLY ACKNOWLEDGE THAT AI-GENERATED CONTENT SHOULD NOT BE USED AS THE SOLE OR PRIMARY BASIS FOR ANY INVESTMENT, TRADING, FINANCIAL, TAX, OR LEGAL DECISION. ANY RELIANCE ON INSIGHTS CONTENT IS AT YOUR OWN RISK. PROCAP IS NOT RESPONSIBLE FOR ANY LOSS, DAMAGE, OR HARM ARISING FROM YOUR USE OF OR RELIANCE ON INSIGHTS CONTENT.

7. Limitation of Liability Specific to ProCap Insights

In addition to the limitation of liability in the General Terms, the total aggregate liability of ProCap and its affiliates, directors, officers, employees, agents, licensors, and service providers for all claims arising out of or relating to ProCap Insights shall not exceed the greater of: (i) the total subscription fees you paid for ProCap Insights in the six (6) months immediately preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars ($100.00).

8. Termination

8.1 Termination by You

You may cancel your subscription at any time as described in Section 4.4. Your access continues through the end of your current billing period and then ceases.

8.2 Termination by ProCap

We may suspend or terminate your access at any time, including for breach of these Supplemental Terms or the General Terms. If we terminate for your breach, no refund will be issued. If we terminate without cause or discontinue the Insights Service entirely, we will issue a pro-rata refund of prepaid fees.

8.3 Survival

Sections 3, 5, 6, 7, and 8 survive termination.

9. General

All provisions of the General Terms that are not expressly modified by these Supplemental Terms remain in full force and effect with respect to ProCap Insights. This includes the General Terms' provisions regarding dispute resolution, governing law, arbitration, class action waiver, indemnification, privacy, export controls, and miscellaneous provisions.

We may modify these Supplemental Terms at any time. For material changes, we will provide notice by email at least fifteen (15) days before the changes take effect. Continued use after the effective date constitutes acceptance.
